Zlox Ambassador Program

1. Program Overview

1.1 Zweck

The Zlox Ambassador Program ("Program") is designed to reward individuals and agencies who promote Zlox services and refer new customers to our platform.

To participate in the Program, you must:

• Be at least 18 years old
• Have a valid business registration (KVK number for Netherlands-based ambassadors)
• Provide accurate bank account information for commission payments
• Comply with all applicable laws and regulations
• Not have been previously terminated from the Program

2. Commission Structure

2.1 Commission Plans

Ambassadors can choose from multiple commission plans, each with different flat and recurring commission rates. Commission rates are based on:

• Flat commission per new customer signup
• Recurring commission percentage on customer subscriptions
• Duration of recurring commissions (months)
• Monthly and total commission caps

2.2 Commission Calculation

Commissions are calculated based on:

• Successful customer registrations through your unique referral link
• Active paid subscriptions from referred customers
• Actual payments received by Zlox (not pending or failed payments)

2.3 Payment Terms

Commission payments are processed:

• Monthly, within 30 days after the end of each calendar month
• Via bank transfer to your registered IBAN account
• Only when minimum payout threshold of Euro 50 is reached
• Subject to applicable taxes and withholdings

2.4 Commission Eligibility, Calculation & Plan Rules

• A "Confirmed Paying Customer" is a referred business with a successful paid subscription in the calendar month, net of refunds and chargebacks.
• Flat payout is only paid when customer subscription amount is at or above your plan minimum subscription amount.
• Flat payout also requires your monthly confirmed paying customer count to reach the plan threshold.
• Flat frequency can be monthly or once. Monthly pays each eligible month; once pays only a single time per plan assignment.
• Recurring commission is calculated on monthly net revenue and capped by the plan cap.
• Recurring formula uses integer cents: recurring = min(round(revenue * percent/100), cap).
• Total monthly commission = recurring + flat (only when eligible). All calculations use EUR cents.
• Refunds or chargebacks can reverse prior commissions (clawback). Month boundaries follow Europe/Amsterdam timezone.
• Ambassador plans are personal and non-transferable. They cannot be assigned or transferred to another person or entity.
• A plan can be renewed a maximum of 4 times. After 4 renewals, a new plan application must be submitted and approved.
• Early termination of the plan will result in commissions not being calculated for the remaining period and any pending bonuses will not be paid out.
• The plan start date is the approval date. The plan runs for the duration of percent_duration_months. The contract must be renewed before the end of this period or it will be considered terminated. Ambassadors may submit a renewal request up to 1 month before the end date.

3. Ambassador Responsibilities

3.1 Promotional Activities

As an ambassador, you agree to:

• Promote Zlox services accurately and honestly
• Use only approved marketing materials provided by Zlox
• Not make false or misleading claims about Zlox services
• Comply with all advertising and marketing regulations
• Disclose your ambassador relationship when promoting Zlox

3.2 Prohibited Activities

You must not:

• Use spam, unsolicited emails, or deceptive marketing practices
• Bid on Zlox brand keywords in paid search campaigns
• Create fake accounts or generate fraudulent referrals
• Misrepresent yourself as a Zlox employee or official partner
• Engage in any illegal or unethical promotional activities

4. Intellectual Property

All Zlox trademarks, logos, and marketing materials remain the property of Zlox B.V. You are granted a limited, non-exclusive license to use these materials solely for promoting Zlox services as an ambassador. This license terminates immediately upon termination of your ambassador status.

5. Data Protection & Privacy

You agree to:

• Comply with GDPR and all applicable data protection laws
• Not collect or process personal data of referred customers beyond what is necessary for referrals
• Maintain confidentiality of any customer information you may access
• Report any data breaches or security incidents immediately

6. Term & Termination

6.1 Term

Your participation in the Program begins upon approval of your application and continues until terminated by either party.

6.2 Termination

Either party may terminate your participation:

• With 30 days written notice for any reason
• Immediately for breach of these terms
• Immediately for fraudulent or illegal activities

6.3 Effect of Termination

Upon termination:

• You must cease all promotional activities
• Your referral links will be deactivated
• Earned but unpaid commissions will be paid according to normal schedule
• Future commissions from existing referrals may be forfeited

7. Limitation of Liability

Zlox B.V. shall not be liable for:

• Any indirect, incidental, or consequential damages
• Lost profits or business opportunities
• Changes to commission rates or program terms
• Technical issues affecting referral tracking

8. Modifications

Zlox reserves the right to modify these terms at any time. Material changes will be communicated via email, and continued participation constitutes acceptance of the modified terms. You will be required to accept new versions of these terms to continue as an ambassador.

9. Governing Law

These terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.

11. Supplemental Formal Clauses (Added)

These supplemental clauses apply in addition to Sections 1-10 above.

11.1 Independent contractor status: Ambassador is not an employee, agent, or legal representative of Zlox and has no authority to bind Zlox.

11.2 No binding authority: Ambassador may not make warranties, pricing commitments, legal promises, or performance guarantees on behalf of Zlox.

11.3 GDPR lead collection: Ambassador may process lead data only on a valid legal basis (legitimate interest where lawful, or consent where required), with transparency, opt-out handling, and data minimization.

11.4 Clawback and offsets: Zlox may withhold, offset, or reverse commissions for fraud, invalid attribution, refunds, chargebacks, policy breaches, or legal non-compliance.

11.5 Anti-bribery and conflicts: Bribes, kickbacks, and undisclosed conflicts are prohibited and may cause immediate termination and forfeiture of unpaid amounts.

11.6 Taxes and invoicing: Ambassador is solely responsible for tax and VAT obligations; Zlox may require compliant invoice documentation before payout.

Implementation Notes (non-legal)

• Require explicit acceptance of ambassador terms and supplemental clauses.

• Provide lead-source log and clawback reason visibility per payout item.
• Keep versioned acceptance audit records for each ambassador profile.
